Legal Due Diligence
Thorough due diligence is a key element of any capital transaction or business sale. At MJH, we carry out detailed legal audits of companies and businesses – both on the buyer’s side (buy-side) and the seller’s side (vendor due diligence). Our aim is to identify significant legal risks that may affect the value or security of the transaction, and to propose solutions to minimise their impact.
Thanks to our many years of experience, we know that effective due diligence requires not only an analysis of documents, but also an understanding of business realities and the specific characteristics of the industry in question. That is why we tailor our reports to the client’s needs and the requirements of the specific investment process.
The scope of the review includes, amongst other things:
