Mergers & acquisitions

MJH’s M&A Practice supports clients in carrying out the most demanding investment and ownership processes. We support our clients at every stage – from planning and analysis, through negotiations and the preparation of documentation, right through to post-acquisition integration. We combine legal expertise with experience in finance, technology, trade and services, enabling us to conduct transactions effectively, securely and in line with strategic business objectives.

Our approach is based on an understanding of the needs of both investors and business owners, which enables us to develop transaction structures tailored to the specific characteristics of the market, the industry and long-term development plans.

We support and represent our clients in the following areas:

  • business acquisitions and disposals – shares, assets and organised parts of a business
  • due diligence and transaction structuring – we identify risks, highlight opportunities for optimisation and provide recommendations
  • drafting and negotiating contracts – including share sale agreements, investment agreements and shareholders’ agreements
  • establishing joint ventures and strategic alliances – we advise from the conceptual phase through to the development of corporate governance principles
  • advice for private equity and venture capital funds and founders – we provide support with investments, capital injections and exits
  • post-acquisition integration – we assist with the integration of acquired entities, the implementation of new organisational structures and change management

Our interdisciplinary approach also encompasses the analysis of issues relating to competition law, taxation, data protection, intellectual property and employment law. This enables us to comprehensively safeguard our clients’ interests and ensure that every transaction proceeds in a predictable and efficient manner.

Our experience includes, amongst other things:

  • conducting negotiations in high-value and complex transactions
  • effectively minimising legal and tax risks through thorough due diligence
  • supporting family business owners in the sale of their companies and investors in capital expansion
  • co-ordinating international transactions in collaboration with foreign law firms
  • developing integration strategies that enable the smooth merger of organisations following the completion of a transaction
