Restructuring
MJH’s Restructuring Practice is made up of experienced lawyers who support companies facing difficult financial and operational situations, helping them to regain stability and lay the groundwork for further growth. We combine legal expertise with a practical business approach, enabling our clients to carry out their reorganisation in a predictable and secure manner.
We advise large corporate groups as well as family-owned businesses and start-ups. Our support covers the full range of restructuring processes – from operational and financial reorganisation, through restructuring proceedings, to M&A transactions in crisis situations.
We support and represent our clients in the following areas:
- organisational and operational restructuring – we advise on changes to a company’s structure, including mergers, demergers and conversions, optimisation of operating costs, and the centralisation or decentralisation of key business functions (HR, finance, logistics, sales)
- workforce restructuring – we provide support with collective redundancies, changes to staffing structures and outplacement processes
- financial restructuring – we negotiate financial liabilities, loans and leases, and draft restructuring agreements and out-of-court settlements
- restructuring proceedings – we analyse the legal and financial situation, recommend the most advantageous courses of action, prepare applications and represent clients before restructuring courts
- transactional restructuring and M&A – we advise on the acquisition of companies in financial distress (distressed assets), analyse legal risks and structure transactions
- crisis response solutions – we provide support in implementing aid programmes and crisis relief measures, as well as in day-to-day operational and financial crisis situations
Our experience includes, amongst other things:
- successfully managing restructuring processes culminating in arrangements with creditors
- advising on operational, financial and employment restructuring across various sectors
- supporting M&A transactions in crisis conditions
- minimising legal, financial and reputational risks whilst ensuring business continuity
